1. Agreement to Terms
By accessing or using Tradsup (“the Platform”), operated by Tradsup Ltd., you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you may not use the Platform. We may update these Terms at any time — material changes will be communicated through the Platform, and your continued use after such notice constitutes acceptance.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction, whichever is higher) to create an account and use Tradsup. By registering, you represent and warrant that you meet this requirement, that you are legally capable of entering into a binding agreement, and that all information you provide is accurate and current.
3. Account Responsibilities
You are responsible for all activity that occurs under your account. You agree to:
- Provide accurate and truthful information in your profile and listings.
- Keep your account secure and notify us immediately of any unauthorized access.
- Not share, sell, or transfer your account to another person.
- Not create multiple accounts to circumvent restrictions or bans.
- Not use the Platform if your account has been previously suspended or terminated.
4. How Tradsup Works
Tradsup is a peer-to-peer swapping marketplace. Users list items they wish to swap and propose exchanges with other users. Tradsup facilitates communication and the swap process but does not participate in, guarantee, endorse, or insure any swap. All swaps are transactions between users directly.
4.1 Tradsup Credits
Tradsup Credits are a virtual in-app currency. When you send a swap proposal, 1 credit is locked from your balance; it is consumed once the swap is agreed to proceed, and returned if the proposal is declined, withdrawn, or expires unanswered. Accepting a swap also costs 1 credit, so an agreed swap costs each party 1 credit. Credits may also be returned when an accepted swap is cancelled, as described in the Platform. Credits have no monetary value outside the Platform and cannot be exchanged for cash. Purchased credits are non-refundable except as required by applicable consumer protection law or your app store's refund policy. Unused credits do not expire.
4.2 Item Listings
You may only list items that you legally own and have the right to exchange. Listings must include accurate descriptions, genuine photographs taken by you, and honest condition assessments. You are solely responsible for the accuracy of your listings. Prohibited items include but are not limited to: illegal goods, counterfeit or replica items, hazardous materials, weapons, controlled substances, stolen property, recalled products, and items that violate third-party intellectual property rights.
4.3 Completing Swaps
Once both parties accept a swap, they are expected to fulfill the exchange in good faith. Both parties must confirm completion in the app. Failure to complete accepted swaps may result in account restrictions or suspension.
5. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of any applicable local, national, or international law.
- Post false, misleading, deceptive, or fraudulent listings.
- Harass, threaten, stalk, defame, or abuse other users.
- Manipulate ratings, reviews, search results, or any Platform feature.
- Circumvent Platform features, restrictions, security measures, or moderation actions.
- Use bots, scrapers, crawlers, or automated tools to access or interact with the Platform.
- Attempt to buy, sell, or solicit cash transactions outside the swapping system.
- Collect or harvest other users' personal information without their consent.
- Interfere with or disrupt the Platform's infrastructure, servers, or networks.
6. Content and Intellectual Property
You retain ownership of content you post (photos, descriptions, reviews). By posting content, you grant Tradsup a worldwide, non-exclusive, royalty-free, sublicensable license to use, display, reproduce, modify, and distribute your content in connection with operating and promoting the Platform. This license ends when you delete the content or your account, except where your content has been shared with others and they have not deleted it. You represent that you have the right to grant this license and that your content does not infringe on any third party's rights.
7. Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Tradsup does not warrant that the Platform will be uninterrupted, secure, or error-free.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Tradsup and its officers, directors, employees, affiliates, and agents shall not be liable for:
- The quality, safety, legality, or authenticity of items listed or swapped.
- The conduct, actions, or omissions of any user.
- Any indirect, incidental, special, consequential, or punitive damages.
- Any loss of profits, data, goodwill, or other intangible losses.
- Any disputes, claims, or damages arising from transactions between users.
In no event shall Tradsup's total aggregate liability exceed the greater of (a) the amount you have paid to Tradsup in the 12 months preceding the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Tradsup, its parent company, subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform, (b) your violation of these Terms, (c) your violation of any rights of a third party, or (d) your content.
10. Dispute Resolution
If a dispute arises between users, we encourage you to resolve it directly through the Platform's messaging system. Tradsup may, at its sole discretion, assist in mediating disputes but is under no obligation to do so. Tradsup reserves the right to take any action it deems appropriate, including suspending or terminating accounts involved in disputes.
11. Account Termination
Tradsup may suspend or terminate your account at any time, with or without notice, for violations of these Terms, fraudulent or illegal activity, or any conduct deemed harmful to the community or Platform. You may delete your account at any time through Settings. Upon termination, your right to use the Platform ceases immediately, and any remaining credits are forfeited. Provisions that by their nature should survive termination (including Sections 6–9) shall survive.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Hong Kong SAR, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts of Hong Kong SAR, and you consent to the personal jurisdiction and venue of such courts. If you are a consumer in the European Union, you retain the benefit of any mandatory provisions of the law of your country of residence.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Tradsup regarding your use of the Platform and supersede all prior agreements, understandings, and communications.
15. Changes to Terms
We may modify these Terms at any time. We will notify users of material changes through the Platform or via email at least 14 days before they take effect. Your continued use of Tradsup after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the Platform and delete your account.
